Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Ignyq ("the Software"), or by purchasing a license at ignyq.co, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Software.

These Terms constitute a legally binding agreement between you and Ignyq Inc., a Delaware corporation doing business in Texas ("Company," "we," "us," or "our").

2. License Grant

Subject to your compliance with these Terms and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on computers you own or control
• Use the Software for your personal financial research and planning

2.1 Free Plan

Free Plan users receive a perpetual license to use the features included in the Free tier, subject to these Terms.

2.2 Paid Tiers

• Monthly/Annual subscriptions: license is valid while your subscription is active and payments are current
• Lifetime licenses: license is perpetual for the major version purchased (version 1.x), subject to these Terms

2.3 Device Limit

License keys are for personal use. Each license key may be activated on up to two (2) devices owned by the same individual. Sharing, reselling, or distributing license keys is prohibited.

3. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Remove or alter copyright, trademark, or license notices
• Sublicense, sell, rent, lease, or transfer the Software or any license key to any third party
• Use the Software to provide services to third parties (consulting, financial advisory, etc.) without a separate commercial license from us
• Circumvent any license enforcement mechanisms
• Use the Software in any way that violates applicable law

4. Not Investment Advice — Important Disclaimer

All analysis, projections, scores, ratings, AI outputs, and other outputs produced by the Software are for informational and educational purposes only. They are not recommendations to buy, sell, or hold any security or asset.

Ignyq Inc. is not a registered investment adviser, broker-dealer, or financial planner. No output from the Software constitutes a personalized investment recommendation.

Market data displayed by the Software may be delayed, incomplete, or inaccurate. Always verify information with your broker or financial institution before making investment decisions.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INVESTMENT DECISIONS. WE ARE NOT LIABLE FOR ANY LOSSES ARISING FROM YOUR USE OF THE SOFTWARE.

5. Payment and Billing

5.1 Pricing

Prices are displayed in USD unless otherwise stated. We reserve the right to change prices at any time. Price changes will not affect active subscriptions until renewal. Active subscribers will receive at least 30 days' advance notice of any price change before it takes effect at renewal.

5.2 Subscription Billing

• Monthly subscriptions: billed every 30 days
• Annual subscriptions: billed every 12 months
• Billing is handled by Stripe, our authorized payment processor. You authorize Stripe to charge your payment method automatically on each renewal date.

5.3 Failed Payments

If a payment fails, Stripe will attempt to collect again per their standard dunning schedule. Access to paid features may be suspended after failed payment attempts.

5.4 Lifetime Licenses

Lifetime licenses are one-time charges with no recurring billing.

6. Refund Policy

We offer a 30-day money-back guarantee on all purchases. If you are not satisfied within 30 days of purchase, email support@ignyq.co with your order number for a full refund.

After 30 days, all sales are final. We do not offer partial refunds for unused subscription periods. Refunds for annual or lifetime licenses are only available within the 30-day window. We reserve the right to deny refunds for abuse of the refund policy.

7. Cancellation

You may cancel a subscription at any time through your customer portal (link in your purchase confirmation email) or by emailing support@ignyq.co.

Cancellation takes effect at the end of the current billing period. You retain access until that date. Cancellation does not entitle you to a refund unless within the 30-day refund window.

8. Intellectual Property

The Software, including all code, designs, graphics, documentation, and the Ignyq™ trademark, are owned by Ignyq Inc. and protected by copyright and other laws. Nothing in these Terms transfers ownership of the Software to you. You receive a license, not ownership.

"Ignyq™" is a trademark of Ignyq Inc. (USPTO Application No. 99619091). You may not use our trademark, logo, or name without prior written permission.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, incorporated herein by reference.

10. Third-Party Services and Data

The Software integrates with or fetches data from third-party services including but not limited to:

• Yahoo Finance — market data
• GuruFocus — optional fundamental data integration (Bring Your Own Key, Wealth and Elite tiers). Data requests go directly from your machine to GuruFocus; Ignyq does not store or transmit your GuruFocus API key.
• Anthropic (Claude), OpenAI (ChatGPT/GPT-4o), Google (Gemini), Perplexity, xAI (Grok), Copilot (Microsoft) — optional AI features (Bring Your Own Key). When you use AI features with your own API key, queries you submit are processed by the applicable AI provider and subject to their terms and privacy policy. Ignyq does not store or transmit your AI queries or API keys.
• Your broker — for optional portfolio import features

Your use of these services is subject to their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT MARKET DATA WILL BE ACCURATE, COMPLETE, OR TIMELY, OR THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGNYQ INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, or consequential damages
• Investment losses or financial damages of any kind
• Loss of data or profits
• Damages exceeding the amount you paid in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability — these limitations may not apply to you.

13. Termination

We may terminate or suspend your license immediately, without notice, if you:

• Violate these Terms
• Attempt to circumvent license enforcement
• Use the Software fraudulently
• Engage in chargebacks without first contacting support

Upon termination, you must stop using the Software and delete all copies. Refunds are not provided for terminations due to Terms violations. You may terminate your license at any time by uninstalling the Software and canceling any subscription.

14. Updates and Changes

We may update the Software from time to time. Updates for the same major version are free for lifetime license holders. We reserve the right to charge for major version upgrades.

We may modify these Terms at any time. Material changes will be communicated via email (to your purchase address) or posted on this page. Continued use constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Ignyq Inc. is incorporated in Delaware and does business in Texas.

Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation (email support@ignyq.co). If unresolved after 30 days, disputes shall be submitted to binding arbitration in Bell County, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

16. General

These Terms, together with the Privacy Policy and, for installed software, the End User License Agreement (incorporated herein by reference), constitute the entire agreement between you and Ignyq Inc. regarding the Software.

If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver. You may not assign your license. We may assign our rights freely.
